For more than a dozen years, we have been involved in providing legal support to energy companies of various sizes. We maintain ongoing cooperation with two leading energy groups in Poland. We advise trading companies, energy producers, both in conventional and renewable energy sources, distribution system operators, and companies carrying out energy investments. We also work with medium-sized and smaller entities operating in the energy market, including energy producers and sellers. We handle M&A transactions, conduct regulatory due diligence, obtain licences, and represent clients in proceedings before the Office of Competition and Consumer Protection (UOKiK) and the Energy Regulatory Office (URE).

  • Analyses of draft legal acts of the regulatory environment during the public consultation process

    Legal support for an electricity generating company during public consultations on draft legal acts of the regulatory environment: the Renewable Energy Sources Act, the Act on the Greenhouse Gas Emission Allowance Trading System, and a number of implementing acts.

  • Restrictions on the flow of information within a “vertically integrated energy enterprise” – support during the implementation of organisational solutions

    Multi-faceted analysis and support during the implementation of organisational solutions restricting the free flow of information between entities forming a capital group that is a “vertically integrated energy enterprise” within the meaning of the Energy Law Act.

  • Due diligence of transmission infrastructure

    Analysis of the legal status of transmission infrastructure used by an operator company operating in the northern part of Poland.

  • UER certificates – advisory concerning the obligation to achieve the National Reduction Target

    Advisory concerning the method of fulfilling the obligation to achieve the National Reduction Target (UER certificates) by a fuel corporation, arising from the Act on Monitoring and Controlling Fuel Quality and other provisions.

  • Analyses of the obligation to obtain consent for concentration

    Numerous analyses of the obligation to notify the President of the Office of Competition and Consumer Protection (UOKiK) of the intention to acquire another enterprise in light of antitrust provisions in matters concerning the concentration of entrepreneurs.

  • Proceedings before UOKiK

    Legal advisory during explanatory proceedings before the President of the Office of Competition and Consumer Protection related to temporary complications in settlements with customers for provided comprehensive services and for sold electricity.

  • Obtaining the consent of the President of UOKiK for a concentration consisting in the acquisition of shares in the special purpose vehicle Elektrownia Ostrołęka S.A.

    Notification and obtaining the consent of the President of the Office of Competition and Consumer Protection to effect a concentration consisting in the acquisition of shares in the special purpose vehicle Elektrownia Ostrołęka S.A. with its registered office in Ostrołęka, for the purpose of the preparation, construction, and operation of a 1,000 MW class hard coal-fired power unit.

  • Acts of unfair competition

    Legal advisory during a dispute at the pre-litigation stage – analysis and assessment of the legitimacy of claims by former management board members of a capital group company related to the alleged commission of acts of unfair competition.
