Opening of Company Liquidation

We perform analyses and draft legal opinions aimed at enabling the company’s owners to make the right decisions regarding its future. We analyze and present the conditions for alternative scenarios to liquidation: the sale of the company, conducting restructuring proceedings, or declaring bankruptcy. We develop schedules and variants for the planned liquidation and assist in its effective opening. We represent the company in court proceedings regarding its dissolution.

Drafting Necessary Documents

We support companies in preparing all necessary documents during the liquidation period. Our assistance includes, among others, drafting minutes and draft resolutions regarding the dissolution of the company and the appointment of liquidators. We provide support during the preparation of the liquidation report. We prepare and assist in compiling the documents needed to conduct the approving shareholders’ meetings. If necessary, we draft agreements or settlements essential for the effective execution of the company’s liquidation process.

Applications to the National Court Register (KRS) and Other Institutions

As part of our services, we prepare applications to the National Court Register (KRS) covering the opening of liquidation, the registration of liquidators, striking the company off the register, and the submission of financial and reporting documents. We draft the documentation necessary to publish announcements in the Court and Economic Monitor (MSiG), and we conduct correspondence with other public law entities on behalf of the company. We represent companies in registry proceedings, providing explanations required by the courts on their behalf and overseeing the proper course of the proceedings. If necessary, we file appeals against rulings unfavorable to the companies and represent our clients’ interests in appellate proceedings.

Support in Liquidation Activities

The GJW Law Firm offers full support to liquidators and companies regarding liquidation activities. We take actions aimed at concluding the company’s current affairs, with particular emphasis on recovering receivables and satisfying the company’s creditors. In this regard, we conduct negotiations with contractors and strive to conclude agreements that will enable the swift completion of the liquidation process. If necessary, we initiate court or administrative proceedings to conclude the company’s interests. We also provide support in liquidating (monetizing) the company’s assets and distributing them among the partners/shareholders.

Handling Matters Arising from Company Liquidation

We represent liquidators in matters concerning the uncollectible debts of the liquidated company and outstanding public law liabilities. We also provide assistance in proceedings for the dismissal of liquidators, along with the appointment of new liquidators and the determination of their remuneration, as well as in compensation disputes between liquidators and the company. We also handle cases involving recourse claims involving liquidators.
